Scope
- 1.1
These terms apply to advertising accounts and related infrastructure supplied or arranged through GO DGTL for Meta, Google, TikTok, Microsoft Advertising, Pinterest, LinkedIn, Reddit, Taboola, Snapchat and other agreed platforms.
Infrastructure sources
- 2.1
Accounts may be supplied through a GO DGTL group company, a group-operated Business Manager or account environment, an external agency partner, a reseller or account provider, or the relevant advertising platform.
- 2.2
GO DGTL may select and change the infrastructure source according to availability, compliance, geography, risk and operational suitability.
- 2.3
GO DGTL is not required to disclose confidential upstream-provider information unless agreed in writing.
Ownership and access
- 3.1
Unless expressly stated otherwise, all advertising accounts, Business Managers, billing arrangements, pages, pixels, payment methods and associated infrastructure remain owned or controlled by GO DGTL, a GO DGTL group company, an Upstream Provider or the relevant platform.
- 3.2
The Client receives a limited, non-exclusive, non-transferable and revocable right to use the assigned account.
- 3.3
The Client does not obtain ownership, permanent access, transfer rights or a right to continued availability.
Approved use
- 4.1
The Client may use an account only for the approved legal entity, business, brand, domain, product or service, platform, geography and campaign type.
- 4.2
The Client must obtain approval before materially changing any approved use.
Platform terms
- 5.1
The Client must comply with all current terms, policies, advertising standards, billing requirements, verification procedures and data rules imposed by the relevant platform.
- 5.2
Platform rules are incorporated into the Client’s permitted use of an account.
- 5.3
Where platform requirements conflict with Client instructions, GO DGTL may refuse, pause or modify the request.
- 5.4
Platforms may independently reject advertisements, require documentation, suspend accounts and change their policies.
Client responsibility
- 6.1
The Client is solely responsible for products and services advertised; creatives, copy and claims; landing pages, domains and redirects; targeting and campaign instructions; customer disclosures; subscription and billing practices; licenses and authorizations; intellectual-property rights; fulfilment and customer service; tracking and privacy compliance; and all activity by its users.
Prohibited conduct
- 7.1
The Client must not sell, rent, share or sublicense account access; add unauthorized users; change payment or administrator settings without approval; remove GO DGTL or provider access; connect undisclosed assets; advertise an undisclosed business; provide false documents; use cloaking or deceptive redirects; attempt to evade platform review or enforcement; interfere with platform systems; or use an account for unlawful, fraudulent or misleading activity.
Compliance intervention
- 8.1
GO DGTL may pause campaigns, remove advertisements, restrict users, stop Top-Ups, disconnect assets, suspend account access, or replace or withdraw an account where reasonably necessary for platform, provider, legal, security, billing, compliance or reputational reasons.
Restrictions and replacement accounts
- 9.1
A replacement account is subject to availability, renewed compliance review, provider approval, correction of the underlying issue and payment of applicable charges.
- 9.2
Replacement is not guaranteed.
- 9.3
GO DGTL may decline replacement where the restriction resulted from repeated policy violations, inaccurate onboarding information, unauthorized changes, deceptive activity or failure to follow compliance instructions.
No guarantee
- 10.1
GO DGTL does not guarantee account approval or lifetime; advertisement approval; reinstatement; uninterrupted delivery; spend capacity; CPM, CPC, CPA, ROAS or conversions; recovery of unused platform funds; or continued availability of a particular provider.
Charges and penalties
- 11.1
The Client is responsible for all platform, provider and partner charges attributable to its use, including Platform Taxes, negative balances, restriction charges, policy penalties, billing adjustments, investigation costs, and replacement or recovery charges.
Platform independence disclaimer
- 12.1
GO DGTL does not claim official affiliation, endorsement or approval unless specifically confirmed in writing.
