Wallet and Funding Terms

How the GO DGTL Wallet works: funding, currencies, deductions, Top-Ups, Top-Downs, reserves, and suspension.

Scope

  1. 1.1

    These terms govern the GO DGTL Wallet displayed in the GO DGTL portal.

  2. 1.2

    The Wallet is used to record amounts available for advertising Top-Ups, GO DGTL commissions and fees, Platform Taxes, provider and partner charges, penalties and administrative charges, and other agreed Services.

Nature of the Wallet

  1. 2.1

    The Wallet is a client-specific internal balance within the GO DGTL service environment.

  2. 2.2

    It is not intended to function as a general-purpose bank account, general-purpose payment account, peer-to-peer transfer facility, savings product or investment account.

  3. 2.3

    Wallet balances do not earn interest.

  4. 2.4

    Wallet balances may be used only in connection with GO DGTL Services and may not be sold, assigned, pledged or transferred to another client without GO DGTL’s written consent.

Funding the Wallet

  1. 3.1

    The Client may fund the Wallet using the payment methods offered by GO DGTL.

  2. 3.2

    Funds are credited only after GO DGTL has received and reconciled cleared funds.

  3. 3.3

    A bank transfer confirmation or proof of payment does not itself constitute cleared funds.

  4. 3.4

    GO DGTL may provisionally process a request based on proof of payment at its discretion.

  5. 3.5

    Any provisional credit may be reversed if the corresponding funds are not received, recalled, reversed, disputed or received for less than the represented amount.

Bank and transaction charges

  1. 4.1

    The Wallet is credited with the net amount actually received by GO DGTL.

  2. 4.2

    Correspondent-bank, SWIFT, receiving-bank, payment-processing and foreign-exchange charges may be deducted from the amount received.

  3. 4.3

    The Client is responsible for ensuring sufficient funds are sent to cover expected charges.

Currencies

  1. 5.1

    GO DGTL may provide Wallet balances in selected currencies, including EUR and USD.

  2. 5.2

    Funds in one currency may not be available for an account denominated in another currency unless GO DGTL approves conversion.

  3. 5.3

    Any conversion is subject to the applicable exchange rate and FX costs.

Deductions

  1. 6.1

    GO DGTL may deduct approved Top-Ups, GO DGTL commissions, monthly and account fees where authorized, Platform Taxes, Pass-Through Charges, bank and FX costs, penalties and restriction charges, administrative fees, negative account balances, and any other amount payable under the Service Agreement.

  2. 6.2

    GO DGTL may correct an inaccurate credit, debit or transaction entry.

  3. 6.3

    The Client must notify GO DGTL of an apparent Wallet error promptly.

Top-Ups

  1. 7.1

    A Top-Up is not processed unless the Client has sufficient available Wallet balance, the account remains available, the request passes applicable checks, and the relevant provider accepts the funding request.

  2. 7.2

    Estimated processing times are not guaranteed.

  3. 7.3

    GO DGTL may reject, pause or delay a Top-Up for compliance, security, payment, platform, provider or risk reasons.

Top-Downs

  1. 8.1

    A Top-Down is a request to recover available funds from an advertising account and return them to the Wallet.

  2. 8.2

    Top-Downs are subject to platform and provider availability, account status, outstanding spend and taxes, billing reconciliation, and applicable provider rules.

  3. 8.3

    GO DGTL does not guarantee that funds held in an advertising account can be recovered.

Reserves

  1. 9.1

    GO DGTL may reserve or temporarily withhold amounts where it reasonably expects outstanding advertising spend, Platform Taxes, delayed provider invoices, penalties, negative balances, billing adjustments, payment reversals, investigations or other Client liabilities.

  2. 9.2

    A reserve may remain until the relevant risk or liability is reasonably resolved.

Wallet records

  1. 10.1

    Portal records, bank records, provider records and GO DGTL accounting records are evidence of Wallet transactions, absent manifest error.

  2. 10.2

    The Client should review its Wallet statements regularly.

Suspension and termination

  1. 11.1

    GO DGTL may suspend Wallet access where the Client has overdue amounts, a payment is reversed or disputed, GO DGTL suspects unauthorized access, the Client is under compliance review, or suspension is necessary to protect GO DGTL or an Upstream Provider.

  2. 11.2

    On termination, GO DGTL may deduct outstanding amounts and reserve expected liabilities before returning any eligible balance.
